Terms of Service
These Terms govern your access to and use of the Emberis website and application. By creating an account, joining our early-access program, or using the service, you agree to these Terms.
1. The service
Emberis is a software platform that extracts the reasoning behind an organization's decisions and makes it searchable, answering with a citation where the reasoning is written down or a clearly labeled inference where it is not. Features may evolve over time.
2. Accounts & eligibility
You must provide accurate information, keep your credentials secure, and be at least 18. You are responsible for activity under your account and for your users' compliance with these Terms.
3. Subscriptions, billing & taxes
- Paid plans are billed in advance on a monthly or annual basis through our payment processor, Stripe.
- Subscriptions renew automatically at the end of each billing period unless cancelled beforehand.
- Prices are shown in USD as a reference; local currency and taxes may apply and are your responsibility unless stated otherwise.
- Refunds and cancellations are governed by our Refund & Cancellation Policy.
4. Early-access / Design Partner program
We may offer a limited early-access program in which a small number of companies use Emberis free of charge for a defined period (currently 90 days). By participating you agree that: the program is provided as-is and may change or end; participation may involve providing feedback and a reference; and continued use after the free period requires a paid subscription. Any promotional terms stated at sign-up form part of these Terms.
5. Your data and ownership
You own your content. You retain all rights to the documents, messages, and other data you connect. You grant Emberis a limited license to process that content solely to provide the service to you. We do not use your private workspace content to train shared or third-party foundation models. Our handling of data is described in the Privacy Policy and, for enterprise customers, a Data Processing Agreement.
6. Acceptable use
You agree not to: use Emberis unlawfully; upload content you have no right to use; attempt to breach security or access other tenants' data; reverse-engineer or resell the service; or use it to build a competing product. We may suspend accounts that put the service, other customers, or third parties at risk.
7. Intellectual property
Emberis and its software, design, and trademarks remain our property. These Terms grant you a limited, non-exclusive, non-transferable right to use the service during your subscription.
8. Confidentiality
Each party will protect the other's non-public information disclosed in connection with the service and use it only to fulfill these Terms.
9. Warranties & disclaimers
Emberis clearly labels whether an answer is a citation or an inference; however, the service is provided “as is” without warranties of any kind, and outputs may contain errors. You are responsible for how you use the outputs. To the maximum extent permitted by law, we disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
10. Limitation of liability
To the maximum extent permitted by law, neither party is liable for indirect, incidental, or consequential damages, and our total liability for any claim is limited to the amount you paid us in the 12 months before the claim.
11. Term & termination
These Terms apply while you use Emberis. You may stop using the service and cancel at any time per the Refund & Cancellation Policy. We may suspend or terminate access for breach or non-payment. On termination, you may request export or deletion of your data.
12. Governing law
These Terms are governed by the laws of [GOVERNING JURISDICTION], and disputes will be subject to the courts of that jurisdiction, without regard to conflict-of-law rules.
13. Changes
We may update these Terms. Material changes will be notified via the service or email, and continued use after changes take effect constitutes acceptance.
